The Fairfax IDBI Bank deal involves the sale of a 60.72% stake in IDBI Bank to Fairfax Financial Holdings for ₹52,878 crore, following approval from the Cabinet Committee on Economic Affairs (CCEA). The Toronto-based financial services group, backed by Indian Canadian billionaire Prem Watsa, is expected to complete the acquisition by March 2027.

Fairfax IDBI bank deal and shareholding changes

The transaction will transfer control of IDBI Bank to Fairfax, while the Government of India and Life Insurance Corporation of India (LIC) will retain minority stakes. Before the sale, LIC held 49.24% of the bank, while the Centre owned 45.48%. After the transaction, their respective stakes will fall to 19% and 15%.

Finance Minister Nirmala Sitharaman described the transaction as a restructuring, stating that the government would continue to hold shares in the bank. The sale marks a major foreign investment in India’s financial services sector.

Fairfax’s winning bid of ₹81 per share exceeded the closing price of ₹70.38 recorded on the last trading day before the invitation for final bids on May 18. On Wednesday, IDBI Bank shares rose 9% to close at ₹90.39 on the National Stock Exchange. The increase came amid expectations that the sale announcement was approaching. LIC shares remained largely unchanged at ₹394.

The transaction follows several foreign investments in India’s financial sector. In June 2026, Emirates NBD completed its purchase of a 60% stake in RBL Bank for nearly $3 billion. Japan’s Mitsubishi UFJ Financial Group acquired a 20% stake in Shriram Finance for $4.4 billion. In 2025, Sumitomo Mitsui Banking Corporation purchased 24.2% of YES Bank for slightly less than $2 billion.

Disinvestment proceeds and conditions for Fairfax

The Fairfax IDBI Bank deal is expected to support the Centre’s disinvestment target of ₹80,000 crore for FY27, with proceeds of ₹52,878 crore from the stake sale. According to the latest figures from the Department of Investment and Public Asset Management, the government had already raised ₹55,757 crore before the IDBI Bank transaction.

The sale concludes a process that has continued for more than 4 years. IDBI Bank became a private sector bank in 2019 after LIC acquired a majority stake and became its promoter, following the bank’s prolonged financial difficulties.

The agreement requires Fairfax to retain the IDBI Bank name for 3 years after completing the transaction. Its invested capital must remain locked in for 5 years. Fairfax must also reduce its stake in IDBI Bank to 26% over 15 years, with the timeline subject to discussions with the Reserve Bank of India (RBI) and its compliance process.

The transaction also affects Fairfax’s existing banking interests in India. Through its subsidiary, FIH Mauritius Investments Ltd, Fairfax owns 40% of CSB Bank, based in Thrissur, Kerala. Since the same promoter cannot own 2 banks, Fairfax must either merge CSB Bank with IDBI Bank or exit its investment in CSB Bank within 2 years.

LIC must reduce its remaining 19% stake in IDBI Bank to 15% within 2 years of the transaction’s completion. The Finance Ministry has also authorised the Alternative Mechanism to oversee the sale of the government’s remaining 15% stake through the open market, following the prescribed operating procedure.

The Fairfax IDBI Bank deal marks a significant development in India’s banking sector, with the ownership transfer, regulatory conditions, and future shareholding changes expected to shape the bank’s next phase.
